The company will raise an investment of £5.8m ($7.62m) to partially fund the transaction, under which 1,724,137 new ordinary shares of Macfarlane will be issued to vendors.
Nelsons’ management team will become a part of Macfarlane’s senior management team after the acquisition.

Casella Wines will own the winery, 80ha of vineyards and the Morris of Rutherglen brand as part of the acquisition, which will allow the company to strengthen its premium wine offering.
